0:18And we uh welcome everyone who's here in person and those who are viewing virtually.
0:24So uh first thing we're gonna do is get a call to order and our chief legal officer Bob Fry.

0:54Uh, second thing on the agenda are awards and commendations.
0:58And uh our president and CEO, Jennifer Pearce will present any words and commendations that we have for February.

1:07Jennifer Pierce, President and CEO, and I'm proud as always to highlight a couple of our teammates tonight or this afternoon.
1:17Um, first of all, is our um uh list of safe drivers for February.
1:23So the following folks were uh recognized for their safe driving um for the month of January.
1:31And uh we have a list here, and we will highlight Mr.
1:36White um has been working with us for 29 years and has had 24 years of safe driving.
1:44So congratulations to him and thank you, um, Mr.
1:48White, for your amazing service.
1:50Everybody that was on that list um is celebrated with a special patch and pin.
1:56Next, we will go to our March operations employee of the month.
2:02Elgin Clay has been selected as our March employee of the month for his outstanding dedication, professionalism, and unwavering commitment to safe and reliable service.
2:13Alge is a steadfast coach operator who brings a quiet focused present to his work every day.
2:19And the person that nominated him further added that he demonstrates confidence in his routes, supports fellow operators in their success, and consistently is positive, choosing to model positivity and professionalism.
2:33Writers and colleagues alike can trust that they're in good hands when Elge is behind the wheel.
2:38Clay also exemplifies humility and a commitment to continuous improvement.
2:42He accepts feedback from supervisors and managers with openness, applying it to strengthen his performance and service.
2:48His reliability, kindness, and consistent dedication make him a valued member of the Indigo team.
2:53So congratulations to Alcha.
2:56And um, my last thing is just a happy transit teammate appreciation day to all of my colleagues here.
3:04Um we are celebrating this week the dedication and service that um our colleagues provide to the community.
3:12So thank you all for everything you do.
3:21Uh the uh third item is our committee reports, and uh that would be the finance and service.
3:29And uh if there's aren't aren't any objections, we will enter into the record the finance committee report for its meeting on February 19th, 2026.
3:47Next is our uh the regular agenda, and we'll begin with action item A1, and that's consideration approval of the board meeting minutes from February the 19th, 2026.

4:29Action item 82 is consideration and approval of Microsoft Dynamics 365 licensing.
4:38And our chief information officer, Marcus Burnside will present.
4:43Good afternoon, everyone.
4:44Marcus Burnside, Chief Information Officer.
4:47Um, first action item.
4:48It's consideration approval of Microsoft Dynamics 365 licensing.
4:53It is recommended at the board of directors.
5:03And amount not to exceed 238,715.
5:07Since May 2022, IPTC has used Microsoft D365 for enterprise resource planning with integration with our enterprise asset management system, Dynaway.
5:19Crow LLP is our D365 configuration, cloud support and maintenance vendor.
5:27The D365 environment is licensed for production use through April 30th, 2026.
5:43D365 licenses are purchased annually.
5:46And the cost and quantity may change due to additional licensed usage usage or individual license costs.
5:54And for financial impact, the the funding for this project will come from the information technology operating budget.
6:07And again, the cost for this year is 238,715.
6:12The cost increase for 2026 was a result of the following factors.
6:16Adjustments to Microsoft's new D365 licensing model, including an additional required license type, a small addition of contingency licenses, and adjustments to required user quantities.
6:29As usual, IPTC will work to identify opportunities to decrease the increasing D35 licensing costs by continuing to the re-evaluation of end-user requirements for access to specific modules within D365 for XBE declaration.
6:46Since this is a this is a software licensing renewal, was completed using local funds as a special procurement request.
6:53Therefore, XBE participation was not available for this procurement.
6:57I will be happy to answer any questions you may have.
7:10I do want to just thank Marcus for indulging me in a variety of questions about this and the next proposal and just clarifying some of the things that we uh have purchased in the past and then uh helping me understand how all of these link up.
7:28So I just wanted to make sure I thank Marcus on the on the record for that.
7:37You know, I'm not gonna beat you up this time because he spent the same amount of time with me that he did with you explaining all of this a couple of days ago.

8:20This is uh action item A3 consideration approval of small PC computer contract, and um our chief information officer Marcus Burnside will present.
8:32Once again, good afternoon, everyone.
8:34And it is recommended that the board of directors authorize the president and CEO to execute a contract for with small PC computer for passenger information display signs and amount not to exceed 532,700.
8:47IPTC uses small PC for its PIDS technology to communicate real-time arrival information for riders and of the red and purple bus rapid transit lines.
8:57Small PC computer specializes in record computing solutions designed for the most demanding environments, waterproof displays, industrial and AI enabled computers.
9:08The PIDs for the BRT red line have been in service since 2019 and have a five-year life cycle.
9:14Uh the this procurement will replace all end of life units along the red line with new small PC devices that include four-year extended warranty.
9:24Additionally, this procurement will establish an inventory of spares units and spare parts to replace future damaged units or malfunctioning units not covered under warranty.
9:35This inventory is expected to meet their system needs through the planned blue line launch in October 2028.
9:42Uh, for financial impact, this project would will be funded from the information technology operating budget.
9:48The cost for the small PC PIDs and the associated service will be $532,700 for fiscal year 2022.
9:58Uh display units are covered by a four-year warranty.
10:01IPTC may incur additional shipping costs in the event of faulty damage or incorrect parts requireing repair, replacement or refund.
10:10These situations will be handled through the typical RMA process with the vendor.
10:15For XP declaration, there is no XP participation for this procurement in it because there are no certified forms.
10:22I'm sorry, firms, and no subcontracting opportunities associated with the scope of work.

10:32Are there any um questions or comments from the board members?
10:35I just got one quick question, Mr.
10:38Um Marcus, the briefing um memo says that it will meet the system needs through the planned blue line launch.
10:49Does that mean that you're getting enough of these PIDs to do the blue line?
10:53No, that's we're gonna add more when the blue line launches.
10:57This is separate from the blue line because there's a different funding for that as federal funds.

11:31Next is uh action item A4, consideration approval of amendment to the fine line printing contract.
11:40And Carrie Black, our chief public affairs officer will make that presentation.
11:47Hello, good afternoon, directors.
11:51I am Carrie Black, Chief Public Affairs Officer.
11:55Uh, and so today we do want to talk about the um the consideration to extend the fine line or to execute the final option year of our fine line printing contract.
12:06It is recommended that the board authorize the president and chief executive officer to exercise option year two on our fine line printing contract from the amount of six hundred fifty thousand not to exceed 775,000.
12:21That would be effective on April 1st, 2026.
12:24A little bit of background.
12:26So in March of 2022, the Indigo Board of Directors approved a 525,000 uh dollar contract for a three-year contract with two one-year options.
12:37So we are now at that final option year.
12:41Um, the board approved 125,000 for option year number one last year, and we are asking for that same amount for this final year.
12:51Um public affairs is responsible for printing a lot of marketing collateral.
12:56Um, and this last year we printed a lot of information in the education and promotion of uh the fair policy, and then into the new fairs uh and just making sure that our writers and the community uh were properly informed on that, uh, among many other things, including our good vibes writer code of conduct campaign that we just executed uh earlier uh at the start of 2026.
13:21Um moving forward, um, we anticipate the need for printed materials to reflect a number of things, including the continued awareness and and education and outreach of the blue line uh bus rapid transit route with construction, uh new route maps to reflect some significant changes that we will see in June as part of our um schedule adjustments and route changes as well as promotional and educational material for our uh fair moderniz project that's coming up, um culminating with our tap to pay at the end of this year.
13:57Uh the contract is funded through the operating budget.
14:00Uh fine line is a certified MBE committed to using uh several different um several different agencies, um, a three percent VBE participation and an eight percent W BE participation.

15:02Is the finance report presented by Justin Burkha.
15:07Good afternoon, Chair, members of the board.
15:09Justin Burkop, interim CFO for Indigo.
15:12Pleased to present the financial report for the month ending February 28th, 2026.
15:18Beginning with revenue performance, overall revenue for the month of February came in over budget by 13% and year to date by the same.
15:2513% within that total.
15:28Fair revenue for the month came in slightly under budget by 3.8%.
15:32However, it's important to highlight the strong year-to-date brand we saw in February, and that's that fair revenue is up approximately 145,000 or 17% compared to the same period in 2025.
15:48On the expense side, personal services were over budget by 2.9% for the month.
15:53And that was primarily driven by our overtime expenses.
16:23Indigo leadership approved emergency premium pay for hourly operations employees at two and a half times their normal rate.
16:31And because that payroll was processed in February, it's reflected in this month's results and is the primary driver for that variance for the month.
16:42Services and charges were over budget by approximately 1.1 million dollars for the month.
16:47This variance is attributed to a one-time cost sharing payment made to the Indianapolis Department of Public Works for their capital improvement project in converting 29th and 30th streets from one-way to two-way traffic.
17:02And as a reminder, these costs are recorded as operating cost sharing expenses for Indigo rather than capital expenses since the city retains ownership of the asset once the capital project is complete.
17:16As a result, the combined impact of overtime and this one-time payment total operating expenses for February were over budget by 4.6%.
17:24But in all categories, through the end of February 2026, Indigo is under budget by approximately 5.9 million dollars or uh 20 percent.

17:49Um Justin, help me out from our conversation the other day.
17:54We were we were talking about the uns our our fuel costs are certain because they're locked in, but our natural gas and our electric costs are not right.
18:05So we're gonna I've asked Justin to kind of help me track that from month to month so that we can see um where that's going with all of the uncertainty surrounding energy supplies and things going on.
18:18I want to make sure that we're that we don't get in the same problem that we had with fuel a couple of years ago, right?
18:23So I just want to make all the my colleagues on the board aware that we're tracking that.

18:42I will just uh I just kind of want to add again my appreciation to the team for transit.
18:48Um teammate appreciation day and all of the hard work we put in um day after day um across the entire agency.
18:56We celebrated yesterday along with um the rest of the nation.
19:01Um it's uh it's a national holiday, I guess I would say.
19:05Um we will have internal awards for teammate excellence tomorrow, and then we will be um wrapping up the week with our rodeo, um, where both our our operators and our mechanics participate in um activities to uh compete for the right to call themselves the winners of the the rodeo.
19:29So it's been a fun week, and I appreciate um not only everybody's work every day, but all of the folks who put in a lot of work to make this week happen.
19:39And on behalf of the board, we'd also like to uh extend our support and thank you for all the hard work that everybody put in.
19:47It took a lot of extra time and effort.
19:50It's great greatly appreciated.
19:51So it makes our system uh tick and and do so well.
20:00So uh with that, uh our next board meeting is uh April the sixteenth.
