8:58No, so um what it is is that uh they're ready to come before the board and the board needs to make a decision as to whether or not to approve it because there are not necessarily issues with their application, but some things that the board needs to to discuss before approving.

10:22So what the issue is when you apply for a beer permit, everyone who has 5% or more stake in the company or the entity owning the establishment has to go through the application process.
10:37And a lot of times when there is an LLC involved, they will submit an organizational chart, which is what I passed around.
10:45This organizational chart was uploaded on July 2nd, 2025.
10:52And I got to looking at it, and I was I had some concern, I had some questions about you know who owned what because it seemed like Vision RCC LLC is the entity owning, do they own embassy suites or the locations that are having the beer permit?
11:13So Vision RCC is the ownership entity for the asset, which the asset would be the embassy suites hotel.
11:22And and if I misstate anything, just feel free to correct me.
11:27So Vision RCC LLC is the entity that owns the embassy suites.
11:32That entity is owned by two different entities.
11:37LLC and the manager is Mitch Patel.
11:40And New Vision Broad and Fourth LLC.
11:45Well, the problem here is that we need a person attached to this beer permit so we can hold them accountable should something happen to the beer permanent or whatever.
11:54Um and typically the manager is not the one that we hold accountable for the actual beer permit.
12:03Um so I had some questions about okay, well, who owns this entity?
12:09And I was then given another organizational chart yesterday, which to be fair, as soon as I asked for it, they gave it to me.
12:20Um I just hadn't had a time to like do a deep dive into it until you know earlier this week.
12:44So the one you're handing at now is the revised that's the revised social shape.
12:50Um so you you'll see on this revised one who owns Riverfront District LLC is the 20 limited investors with passive non-controlling interest, none of which have 5% or more interest.
13:03Okay, and then they own 80.26%, and then Mitch Patel owns 19.74% okay.
13:13And then on the other side, River City Company is a nonprofit, and no individual has 5% or more interest.
13:22Um, so my question is is why the first and the second organizational chart looks different.
13:30Was that a mistake or or what?
13:32What happened there?
13:34I would need to see the second organizational chart.
13:37Um, with regards to the X.

14:08So um making sure that we explain exactly that Mitch Patel and we identify everyone that has more than a 5% ownership stake.
14:18That is why we broke out Mitch Patel having the 19.74% when we take uh the full ownership percentage of that Vision Riverfront District owns, which is 88.43%, and then we multiply that by the 21% that he owns of Vision Riverfront District, that gives me a total of 19.74% of his ownership within Vision RCC LLC.
14:45When you take um the next highest owner of Vision Riverfront Districts, that would just be 5%.
14:54But due to the fact that Vision Riverfront District only owns 88.43%, the 88 times the five gets us less.

15:19I I have one question.
15:21In the ordinance, does it identify that a person must own it probably says does it say a person has to be the applicant in a sense as far as ownership, or that an entity is it distinguish it between entity and person at all on the application?
15:43Yes, because if it's a corporate entity, you list the officers of that entity, and those are the people that'll be responsible for the permit.
15:51But if there's an actual person that owns a part of the entity, that person, and if that person owns five percent or more, that person is listed on the application what capability, yeah, yep, yeah.
16:07So the way everything is set up now is Mr.
16:12Patel is the only person that's gonna be responsible for this beer permit, but it's technically not an owner of the the vision riverfront.
16:24Well, he's not an owner of Vision RCC LLC individually.
16:28Well, he's an owner of the Vision Riverfront, which is also an owner derivative ownership, right?
16:36And see, this is why I brought it to the board to see what y'all wanted to do with it.

16:55I work with all the investors as well as do the uh financial work behind the scenes of the deal.

17:49Typically, we apply at our hotel management uh company, but due to the fact that we have to deal with um square one and a couple different food and beverage outlets, we have to apply at the ownership level to be in compliance with the franchise as well as um the food and beverage manager.
18:17Tell me is this a bar environment that you want to be able to be managing there?
18:25Is there a bar and with do you have ABC there?
18:29Yes, yes, so uh it'll be a bar environment.
18:32Uh we have a lower level bar that we'll be serving, and we'll also be selling beer out of our pantry, and everybody is ABC licensed.
18:39So people off the street can come into this bar?
18:49So Mutel is not a part of the LLC at all, correct?
18:55Uh repeat the question.
18:59Is he a part of the LLC since he's separated in this chart?
19:04He is a part of the Vision Riverfront District LLC.
19:08Um, but the reason I separated him out was due to the fact that he was the only one with more than a five percent stake in the total LLC.
19:17When is when did he get his 19%?
19:20Or because you just got this chart with the difference in it yesterday.
19:24So is it a way to actually show that he has 19%, or is it just so giving us something on paper?
19:32So actually, they also sent their operating agreement.
19:35I have one copy of that.
19:37Um, and it had uh Mr.
19:39Patel listed as the uh manager as well as the different investors that's on the LLC agreement.
19:49So manager of embassy's week.
19:51No, the manager of um vision riverfront district LLC.
20:00So I think what I need clarity on, and I would defer to legal, but technically speaking, there's no human ownership of Vision RRC LLC because it's owned by and potentially we don't know the ownership uh proportions between now that there's two LLCs owning Vision RRC LLC, the differential ownership of the two LLC, for instance, if Vision Riverfront District LLC owns 50% of Vision RRC LLC, then Mr.
20:44Patel's ownership interest would then be a different proportion of Vision RRC LLC.
20:52Because there's two LLCs involved, so it'd be 50% of 1974 percent, if I'm thinking correctly.
20:59So I'm looking at the wrong one.
21:05So Vision Riverfront District owns 88.43% of Vision RRC LLC, and that and so uh Mr.
21:17Patel owns uh 19.74% of the Vision Riverfront District, right?
21:25So if you bring all of that down, he still owes more than five percent of Vision RCC LLC that's gonna make sense.

24:31My understanding doesn't have corporate maybe it does, maybe they're an agent of the members, and so they do have I don't know if this helps or anything, but he's also listed as a registered agent for the LLC or not.
24:51Okay, I mean, usually the registered agent is just someone who accepts service, right?
24:55Right, that's correct.
24:56So that's why he the registered agent is someone who accepts service on behalf of the LLC.
25:01Well, I thought that was a person that's in when all else fails, he's the one that's gonna be the answering the questions or responsible.
25:14Well so there's there's three types of LLCs.
25:22There's a uh member managed, a manager managed, and a board managed.
25:29What they're saying is this LLC is a manager managed LLC.
25:34That means only the manager has authority to bind the LLC.
25:38Whereas the individual member do not so that managing member would be the one who'd be ultimately responsible for acting on behalf of LLC.

25:58The direct owner, the applicant is Vision R C L L C at the bottom of the organization.
26:05Do we have the operating if we have the operating agreement?

26:12Well, I don't have it in front of me, but what they're I think they're saying is this is like a joint venture between two incorporated entities into it.
26:22And so it's essentially a partnership between those two between creating the manager managed LLC.
26:29And that's the one at the top is the one you should be concerned with because it's the one that has the actual ownership interest of the of the property and we operating the business.
26:41This vision or vision RCC LLC is the one that would be doing the and because the LLC above that is manager managed, that automatically makes no when the when these two entities form this vision R C C LLC, they selected when you when you off when you form an LLC, you select whether you want to be member managed, manager managed, or board managed, and they select it to be manager managed.
27:11She has it on the I have the articles of organization manager management and they uploaded it to the to the system and it says member manager.

28:10No, they would carry up to their room.

28:20I would say the same way that any other bar would if we see somebody heading out with a a drink in their hand, we advise this, you know, it's we're not a carry city, and they'd like to consume that inside our building.
28:32Yeah, I think your bartender would your bartenders tell them that is that in your uh in their job description to test them.
28:42As it is with our front desk as well.
28:45Part of their training.
28:47So the um the pantry is only accessible to guests of the hotel.
28:54What is accessible to guests?
28:56Yeah, where they sell the market.
28:59Yeah, we call it the market in our lobby.
29:06That's kind of a standard operating model now for just about all of the absolutely uh places that want to be involved in any food or beverage, at least my experience has been they'll have a pantry to where if you're staying in the hotel and you want to go get a candy bar or some chips or whatever, they don't have a restaurant per se, uh, then you can do that.
29:26And if if they have beer, then you have to show your ID to correct.
29:30It's the same procedures as if they were buying a beer at a bar.
29:34They're carded, and our company has a 100% carding policy.
29:38And you have to be staying in the hotel in order to use the pantry, someone can't walk in off the street and buy it.
29:45I mean, it won't, it just doesn't work that way.
29:52But you also have a bar downstairs that will be open to the public.
30:00But the two are not, are they adjacent to each other or is one is the pantry in one location in the bar?
30:03The pantry is right next to the front desk and the bar is uh a bit away from that, still in the lobby, but a bar up to the side.
30:11All right, we've got it.
30:14Anybody can come in and get bar.
30:16So now you separate in the bar and a pantry.
30:18So I think even if hypothetically someone walks in off the street, buys from the pantry and carries closed containers out of the hotel under this permit, that would be allowed as well.
30:31I know it's not the internal policy of the hotel, so I'm not speaking of that, but even if that happened, they wouldn't be in any way violating the permit there.
30:39Theoretically, it could be possible, and that's why I asked the question.
30:44And my experience has been that you're playing, you're paying retail plus at the pantry.
30:49It's not how you buy it.
30:53$15 or whatever, you know.
