Well, that's all I said.

0:17

We don't have one real close as we just start with.

0:19

Calling to order the special meeting of the South Summit Council of Governments this Friday, April 17, 2026.

0:27

Please join me in the Pledge of Allegiance.

0:31

I pledge allegiance to the flag.

0:38

Which it stands under God.

0:48

Secretary, please call the roll.

0:50

Mayor Jurgen.

0:51

I am here.

0:52

Mayor Rector.

0:53

I am also here.

0:55

So today's a special meeting.

0:56

Um we're focusing on the topic of updating our bylaws for the South Summit Council Council of Governments.

1:06

What brought this about largely was some changes that we have made recently with personnel and role definitions with new treasurer and secretary.

1:16

And the existing rules in the bylaws simply are outdated as we have redefined those new roles and terms.

1:23

And that's of course caused us to look at the whole uh by-law system and ask is there anything else that we should update?

1:30

Um folks have individually looked at these.

1:34

Um myself, Mr.

1:35

Rector, um, the finance directors from both of the member cities and as well as our law enforcement personnel and sent thoughts to um Vicky, the secretary, who has given us a copy and color coded to show everyone's comments.

1:50

So I think probably the best thing to do is just do what I can to run through this.

1:54

I'll tell you in advance, I have one hour.

1:57

I've got another meeting after this.

1:59

So I'm gonna try to be very efficient.

2:01

Uh I'm gonna go through the paragraphs, look at Mr.

2:04

Rector, Mayor Rector, see if he has thoughts, and if he doesn't, we'll assume that the change will be made.

2:10

If any either of our finance directors have thoughts as we go through, and I haven't already invited you, simply just raise your hand or come to the microphone.

2:19

Um we want to hear you anytime you have thoughts, but I might necessarily not necessarily ask at every um every recommendation.

2:27

So many of these, I think, are kind of housekeeping in nature and uh very simple.

2:32

Uh same thing with anybody else.

2:34

Uh I'm gonna zip through.

2:36

If you want me to stop me at any point, let me just let me do that.

2:40

Um the South Summit of uh Council of Governments is a cog, a council of governments, and that's a statutory creature that's defined by if memory um serves me, 167 of the Ohio Revised Code.

2:56

And basically what that provision uh does is it allows municipalities and other forms of government to come together and form a kind of partnership uh to join forces and for efficiency's sake work together to serve our uh joint constituents.

3:12

Um and that can take a lot of forms.

3:14

Our focus has been uh dispatch, so we are two entities that are working together, forming this separate entity that um is uh governing a joint dispatch center for efficiencies, money savings, and also uh frankly to preserve a high degree of local control uh so that we can kind of ensure our own quality and meant ensure that our own residents are uh served as well as possible through emergency services.

3:42

So our um our bylaws are uh required by statute.

3:48

They are essentially the governing document of the organization under the revised code.

3:53

Uh and we want to make sure they're up to date and accurately reflect what we're doing.

3:58

So let's just go through this.

3:59

Article one.

4:00

Um Dan would suggest removing newly created.

4:04

I I see the merit in that.

4:06

We're not so new anymore, so um I'm gonna suggest we remove that.

4:11

You good with that?

4:12

I'm good with that.

4:13

All right.

4:13

Moving to Article 2.

4:16

Um Shelley made the suggestion instead of membership on, we say membership of.

4:23

Again, I have no objection to that.

4:26

Um I would probably insert after executive board of the word the before council in the middle of 2.1, executive board of the council.

4:38

Um and let me say, first of all, you have any issue with me.

4:44

I uh statutorily, we are called as an entity a council, right?

4:50

That's our name, the council of governments, and that has a statutory implication, uh, a legal meaning.

5:00

Um just as we're a city, New Franklin's a city, a council is this type of partnership of two cities working together uh to serve our joint uh residents.

5:09

Um it makes sense to me that any time we refer to the entity, we call it the council, but within the council, um we have a couple of boards, and again, these are statutorily authorized.

5:20

There is an executive board that is the chief executive of each city, myself and Mayor Mayor uh Rector.

5:28

Um that is the primary decision-making body.

5:32

And so any time I think it any time that the article refers to the decision-making body, I think it's cleaner if we say the executive board, as opposed to the council, because the council refers to the entity, the executive board is making decisions for the council, right?

5:50

There is another board that's mentioned here, and that is a dispatch board that oversees the dispatch center, and they make recommendations up to the executive board.

6:01

So any time their authority is implicated, I think we want to be clear to say dispatch board, right?

Special Meeting of the South Summit Council of Governments on By-Laws Revisions – April 17, 2026

The South Summit Council of Governments (SSCOG) held a special meeting on April 17, 2026 at 9:00 AM to discuss and propose revisions to its by-laws. The meeting was chaired by Mayor Jurgen and attended by Mayor Rector, along with finance directors, law enforcement personnel, and other staff. The revisions aimed to update the by-laws to reflect recent changes in personnel roles, include clearer definitions for the executive board and dispatch board, and address operational procedures.

Discussion Items

  • The primary agenda item was the review of proposed by-law revisions, which had been circulated with color-coded comments from stakeholders. The mayors and staff went through each article systematically.
  • Key changes discussed included:
    • Removing the phrase "newly created" from Article 1 to reflect the organization's maturity.
    • Clarifying that the decision-making body is the "executive board" rather than "council" throughout the document, to distinguish from the dispatch board.
    • Adding a withdrawal process with 90 days' notice after formal action by the legislative authority, with the effective date no more than 120 days after notice, determined by the executive board. Police and fire personnel confirmed the timeline is feasible.
    • Removing the requirement that appointed positions serve "without compensation" (Article 3.4), reflecting that the secretary and treasurer will now be paid.
    • Changing the secretary and treasurer terms to "serve at the pleasure of the executive board" instead of fixed terms.
    • Removing paragraph H from Section 3.8 (authorize expenditures of $10,000 or less) as redundant with later budget provisions.
    • Removing paragraph M (approve contracts exceeding dispatch manager's authority) and clarifying that the president shall sign all contracts as part of day-to-day operations.
    • Removing newspaper notification requirement for meetings, as the law has shifted to website posting.
    • Changing "fiscal agent" references to "treasurer" or "dispatch manager" as appropriate.
    • Updating language to be gender neutral (using "they/their" instead of "his/her").
    • Adding a provision that the dispatch board (formerly board of directors) governs the dispatch center.
    • Adjusting quorum requirements: currently both members must be present, but if a third member joins, a simple majority will suffice.
    • Various other housekeeping changes for consistency.
  • The discussion was detailed and collaborative, with input from the mayors, finance directors, and law enforcement personnel. Legal counsel was present for part of the meeting but no formal action was taken.

Key Outcomes

  • The mayors agreed on the proposed revisions as discussed during the meeting.
  • The secretary (Vicky) was directed to incorporate all changes and produce a revised draft for review.
  • The revised by-laws are planned to be formally adopted at the next regular meeting on Friday, June 26, 2026 at 9:00 AM.
  • No votes were taken at this special meeting; the meeting was solely for discussion and consensus-building.
